The Mosaic Company Completes Debt Buyback Program

The Mosaic Company has concluded its cash tender offers for four series of senior notes and debentures, opting to increase its acquisition of 2029 notes by 2% following a strong response from bondholders. The Tampa-based fertilizer producer will finalize the transaction on August 18, 2026.

The company successfully reached its expiration date for the offers on August 14, 2026, satisfying all conditions for the debt repurchase. According to the tender and information agent, Global Bondholder Services Corporation, Mosaic will accept all validly tendered 2027 senior notes, 2028 debentures, and 2028 senior notes in full.

For the 2029 senior notes, which saw significant interest with $426,996,000 tendered against an initial cap, Mosaic exercised its right to expand the acceptance limit. This adjustment results in a proration factor of approximately 37.78% for those specific securities. Investors whose holdings were accepted will receive the total consideration payment plus accrued interest on the settlement date. Citigroup Global Markets, BMO Capital Markets, and U.S. Bancorp Investments managed the tender process, which the company utilized to manage its outstanding debt obligations ahead of upcoming maturities.
